TERMS OF SERVICE

These Terms govern your use of the nmo.business website and software engineering services provided by nmo LLC.

1. Agreement & Acceptance

By accessing nmo.business, scheduling consultations, or engaging nmo LLC for software engineering services, you confirm that you have read, understood, and agreed to these Terms of Service.

  • Applicability: These terms apply to all site visitors, prospective clients, corporate partners, and service users.
  • Authority: If entering into an agreement on behalf of a company, you represent that you have legal authority to bind that entity.

2. Engineering Services & Deliverables

nmo LLC delivers custom full-stack software development, React/Next.js frontend solutions, backend API architectures, and UI/UX design systems.

Statement of Work (SOW)

Specific project milestones, technical features, deadlines, and pricing are explicitly detailed in custom SOW contracts.

Agile Development

Projects are executed in structured sprints with client reviews, code audits, and regular progress reports.

Client Responsibilities

Clients must provide timely feedback, required API credentials, content assets, and access permissions.

Scope Adjustments

Any modifications to agreed project requirements will be handled via official Change Requests.

3. Intellectual Property Rights

Clear ownership structures governing bespoke source code, UI components, brand identities, and proprietary technologies.

  • Client Ownership Transfer: Upon full settlement of all outstanding invoices, nmo LLC transfers full operational ownership of custom developed code and assets to the client.
  • Pre-existing IP & Tooling: nmo LLC retains ownership of pre-existing boilerplates, internal utility scripts, and reusable libraries used during development.
  • Portfolio Display Rights: nmo LLC reserves the right to display completed project summaries, logos, and screenshots on nmo.business unless bound by an NDA.

4. Billing, Invoicing & Payment Terms

Financial structures governing milestone payments, hourly engagements, and maintenance subscriptions.

Payment Terms

Invoices are issued according to project milestones and are payable within 14 business days of issuance.

Late Settlements

Delayed payments may incur interest fees or result in temporary suspension of active development and deployment.

5. Confidentiality & Non-Disclosure

Both parties agree to treat all proprietary code, database schema, business strategies, and technical assets as strictly confidential.

6. Service Warranties & Disclaimers

nmo LLC provides code quality guarantees while establishing clear parameters regarding third-party service dependencies.

Warranty Period

We offer a 30-day post-launch bug-fix warranty on all custom deliverables built directly by our team.

Third-Party Outages

nmo LLC is not liable for disruptions caused by external APIs, hosting providers (e.g., Vercel, AWS), or third-party SDKs.

7. Limitation of Liability

To the maximum extent permitted by applicable law, nmo LLC shall not be liable for indirect, incidental, or consequential damages resulting from software usage, data loss, or system downtime.

8. Termination of Agreement

Either party may terminate an active service agreement with written notice if the other party materially breaches contract obligations.
